The information below governs the legal agreement between you and Wayfarer Photos LLC covering the digital media you have received from Wayfarer Photos LLC. Received via email, acquired through third party, and/or the physical media you have purchased from us. Your use of and payment for our media constitute your acceptance of this license.
Limited Use License
Client agrees that, subject to the rights and licenses granted herein, Wayfarer Photos LLC is, and will remain, the sole and exclusive owner of all right, title, and interest, to all photography, videography, and 3D services.
Any photography and/or videography/3D provided in service by Wayfarer Photos LLC, may only to be used to market the real estate listing for sale. This Agreement is considered acknowledged and agreed upon after receipt of payment for services conducted by Wayfarer Photos. Upon payment of the invoice provided. Wayfarer Photos grants you and your company and or brokerage a non-exclusive, limited, non-transferable, non-sublicensable, worldwide license to use imagery created for the specific property for permitted commercial purposes, defined as, real estate advertising such as, publication on websites, social media, and printed materials.
Client may not resell, relicense, redistribute without express written permission and consent from Wayfarer Photos LLC.
Wayfarer Photos reserves the right to use all service materials, deliverables and content for advertising, marketing, display, publication, general archive, relicensing, or other purposes.
Except as expressly provided in this Agreement, this is a Non Transferable Agreement, indicating that the images or videos may only be used by the individual and or agency whom completed the payment for services.
Wayfarer Photos LLC reserves the right to sue for copyright infringement, including past infringement.
Wayfarer Photos LLC retains all rights, license, copyright, and ownership of all imagery produced by Wayfarer Photos LLC.
Warranties
All deliverables are considered as is, no warranties will be accepted. Wayfarer Photos will do its best to provide images, video, and 3D services to the client’s specifications. Wayfarer Photos LLC will do their best to ensure all imagery meets the client’s expectations and is delivered to a publishable standard.
Method Of Creation
The method and manner for creation of any imagery is at the sole discretion of Wayfarer Photos LLC. The client has no right to control the method(s) of any image creation performed by Wayfarer Photos LLC.
Relationship Of Parties
The parties agree that Wayfarer Photos LLC is an independent contractor and that neither Wayfarer Photos or Wayfarer Photos employees or contract personnel are, or shall be deemed to be, employees of Client. No agency, partnership, joint venture, or employee-employer relationship is intended or created by this Agreement.
Governing Law
This Agreement shall be governed, interpreted and enforced in accordance with the laws of the State in which the work was performed.
Payment
All fees and expenses payable under this agreement are required to be paid upon receipt. If invoices remain unpaid after 30 days all rights will be revoked at Wayfarer Photos discretion. Any invoice that remains unpaid after 14 days will have a late fee of 10% of the invoice total applied to the invoice. Cancellations within 24 hours will be subject to a $75 last minute cancellation fee. Rescheduling within 24 hours will be subject to a $50 last minute rescheduling fee. Cancellations made once the photographer is on site will be subject to a $175 last minute cancellation fee.
Wayfarer Photos LLC retains all rights, copyright, and ownership of all photography, videography, and 3D services rendered.
